Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the Matana platform, websites, and related services (collectively, the "Service") provided by Matana LLC, a Florida limited liability company ("Matana," "we," "us," "our"). By creating an account, making a donation, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Our Privacy Policy is incorporated into these Terms by reference and describes how we handle personal information. If your organization has signed a separate written agreement with us, that agreement controls where it conflicts with these Terms.
You consent to receive notices, agreements, and disclosures from us electronically — by email or by posting them in the Service — and agree that electronic delivery satisfies any legal requirement that such communications be in writing.
Eligibility and accounts
You must be at least 18 years old (or the legal age of majority in your jurisdiction) and capable of forming a binding contract to use the Service. If you create an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
Donations and donors
Donations made through the Service are made directly to the receiving nonprofit organization. Matana is a service provider that facilitates the transaction. We are not a charitable organization, and contributions made through the Service are not donations to Matana.
Tax deductibility, receipts, and acknowledgments are the responsibility of the receiving nonprofit. We provide tools to assist nonprofits in issuing receipts but do not warrant the tax treatment of any donation.
Donations are generally final once processed. You are responsible for the accuracy of the information you submit, including the recipient organization, the amount, and any dedication or acknowledgment details.
Recurring donations
If you authorize a recurring donation, you authorize us and our payment processor to charge your selected payment method on the interval you choose until you cancel. Recurring donations continue until cancelled by you, by the receiving nonprofit, or by us.
You may cancel a recurring donation at any time using the link in your donation receipt or by contacting the receiving nonprofit or us. Cancellation stops future charges; it does not refund charges already processed.
Matching pools and donor-advised funds
Campaigns may feature matching commitments from matchers or sponsors. A match is a commitment between the matcher and the receiving nonprofit. Matana displays and tracks match progress but does not guarantee that any matcher will fund their commitment, and we are not responsible for unfulfilled matches. Nonprofits are responsible for describing match terms accurately, including any caps, deadlines, and conditions.
Where a donor recommends a grant from a donor-advised fund ("DAF"), the grant is made by the sponsoring organization that holds the fund, subject to that sponsor's policies and approval. Matana records the recommendation and, where supported, coordinates confirmation — it does not control whether or when a sponsor approves or disburses a grant. DAF grants are not eligible for additional tax deduction by the recommending donor and may not be used to satisfy pledges or receive benefits where prohibited.
Peer-to-peer fundraisers
Individuals may create fundraiser pages under a nonprofit's campaign. Funds raised through a fundraiser page go to the campaign's nonprofit, not to the individual fundraiser. If you create a fundraiser page, you must accurately describe the cause and your relationship to the nonprofit, and you must not imply endorsement you have not been given. The nonprofit that owns the campaign may edit or remove any fundraiser page under it.
Nonprofit accounts
By creating a nonprofit account, you represent and agree that:
- Your organization is a bona fide charitable, educational, religious, or other nonprofit entity in good standing under applicable law.
- The information you provide about your organization is accurate, complete, and kept up to date.
- You will use funds received through the Service for the charitable purposes described on your donation pages.
- You will provide donors with accurate receipts, acknowledgments, and tax documentation as required by law.
- You will comply with all applicable laws, including those governing fundraising, solicitation, and financial reporting.
Fees, subscriptions, and payouts
Nonprofit accounts pay a flat fee of $2,000 per campaign and $49 per month for an always-on donation page, as described on our pricing page. We take no percentage of donations or of matching funds. Current pricing is always the pricing shown on that page or in your account at the time of purchase; we may change fees prospectively, and changes do not affect a campaign already paid for or the current term of an active subscription.
Payment processing fees charged by our payment partners are separate from our fees, are set by those partners, and are deducted from donations before payout.
Subscriptions renew automatically each month until cancelled. You may cancel at any time from your account; cancellation takes effect at the end of the then-current billing period, and fees already paid are not refundable except where required by law. Fees are exclusive of taxes, and you are responsible for any taxes assessed on them.
Donations settle to the nonprofit's own connected payment account. Payouts are made on the schedule set by the payment processor and disclosed in your account, subject to identity verification, fraud review, and applicable holds. We or our payment partners may delay or withhold a payout where we reasonably believe a transaction is fraudulent, disputed, unlawful, or in violation of these Terms.
Refunds and chargebacks
Donation refund requests should generally be directed to the receiving nonprofit, which decides whether to issue a refund. Where a refund is issued through the Service, applicable processing fees may not be recoverable, and our platform fees are not refunded.
Chargebacks initiated through a card network are handled according to that network's rules and may result in recovery of funds and fees from the receiving nonprofit. Nonprofits are responsible for chargebacks, refunds, and related fees on donations they receive, and authorize us and our payment partners to recover those amounts from subsequent payouts or by other lawful means.
Acceptable use policy
This section is our acceptable use policy. Donations on the Service are processed by Stripe, and your use of the Service must comply with Stripe's list of restricted businesses and activities, which is incorporated here by reference and available at stripe.com/legal/restricted-businesses. You may not use the Service to raise or process funds for any business, cause, or activity on that list.
You also agree not to:
- Use the Service to solicit funds for any unlawful, deceptive, or fraudulent purpose.
- Misrepresent your identity, affiliation, or the use of funds.
- Upload or transmit content that infringes intellectual property rights, is defamatory, harassing, hateful, obscene, or otherwise unlawful.
- Interfere with or disrupt the Service, attempt to gain unauthorized access, or probe for vulnerabilities outside our published responsible-disclosure process.
- Use automated means (scrapers, bots) to access the Service except as expressly permitted.
- Use the Service to launder money, evade sanctions, or finance terrorism.
- Raise, send, or receive funds for any person, entity, cause, or activity located in or benefiting a jurisdiction subject to comprehensive sanctions, or any party on a government sanctions or denied-party list — including those administered by the U.S. Office of Foreign Assets Control (OFAC).
We screen for this. Every organization and individual fundraiser must complete identity and business verification with our payment processor, including sanctions and denied-party screening, before any campaign can accept a donation. Card payments are additionally screened for fraud and risk by our payment processor, and we may block, reverse, or suspend any campaign, donation, or account we believe violates this policy.
Content and intellectual property
The Service, including its software, design, and content (other than user content), is owned by Matana or its licensors and is protected by intellectual property laws.
You retain ownership of content you submit (campaign copy, images, logos, etc.). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to host, display, and use that content as needed to operate and promote the Service.
Third-party services
The Service integrates with third-party providers, including Stripe for payment processing, donor-advised fund sponsors for DAF grants, and vendors for hosting, email, and analytics. Your use of those services is subject to their own terms and privacy policies — nonprofits accepting payments through the Service are also bound by their payment processor's connected-account agreement. We are not responsible for the acts or omissions of third parties.
Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and availability. We do not warrant that the Service will be uninterrupted, secure, or error-free.
Limitation of liability
To the fullest extent permitted by law, Matana and its members, managers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with your use of the Service. Our aggregate liability for any claim arising under these Terms will not exceed the greater of (a) the amounts paid by you to Matana in the twelve months preceding the claim or (b) one hundred US dollars.
Indemnification
You agree to indemnify and hold harmless Matana from any claim, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms or applicable law.
Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we reasonably believe violates these Terms or is harmful to other users, to us, or to third parties. You may stop using the Service and close your account at any time. Provisions that by their nature should survive termination will survive.
Governing law and disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law principles. Any dispute arising under or in connection with these Terms will be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.
Changes to these terms
We may update these Terms from time to time. When we do, we will update the "last updated" date and, for material changes, take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
General provisions
These Terms, together with the Privacy Policy and any written agreement between us, are the entire agreement between you and Matana regarding the Service. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it.
You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship, and there are no third-party beneficiaries.
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages at our hosting or payment providers, network failures, or acts of government or nature.
